I’m in a 50/50 partnership on a physical Therapy business that obtains much of its business/clients from my Training business We supplied all the equipment ($250k) as well an an existing clientele and book of business, they put in $100k The business opened 2 weeks before the Covid shutdown but continued to pay our GM (as we pulled him from other employment) Fast forward to 2022, we have yet to turn a profit We have nearly $100k in billables to be collected from insurance but in the meantime must pay bills They refused to put in more capital where we had to put in $60k to keep the business afloat (My training business depends on the therapy business) As money starts to come in, they feel as entitled to a “distribution” Unfortunately there was no operating agreement How should/could this be resolved?

You should go to a "corporate" lawyer That person will know what legal things you have to accomplish Little things like, have you made sure your business name is available for you to use or will you get sued by another company using the same name? Are you an LLC or a corporation? Very important to protect you and you personal wealth Do you have an EIN? You need one to set up a business bank account, etc, etc, etc You might want to contact your local SCOREorg mentor We are available to help you without any cost! @evan Carmichael I have a question I am starting a business I've been in this specific industry for 20 years My friend and I have known one another for 15 years She and I have worked together at 3 different companies and work very well together I work extremely hard and so does she We are similarBUT there are also differences at the same timewhich allows for a good balance in terms of perspective I thought about this quite a bit before asking her Of course I could do it on my ownhowever I know that when things hit road blocks, it is great to have someone with you Someone who is just as passionate and has the resilience to make a positive out of a negative She also has strengths where I have weakness In certain areas As far as the name, the recipes etc that is soley meincluding the idea and putting everything in the outline together I would like her to be a part of this but not 50/ 50 I looked at many types of partnershipsbut I am still stuck and am wondering what your opinion is In terms of wanting someone to join to cover particular aspectsbut not 50/50? Evan, I live in a small Island and work for a mechanical installations company thats been around for 14 years Because the company has recognition I suggested to my boss that we introduce an Architecture and Construction Management department run by myself with increased remuneration as those are both my strengths After a year and a half he suggested to move on it but as a separate company that is completely independent of the current business with no input from himbrSo in actuality he wants me to start and run a business for him with the strengths that I possess but he wants to own 100 of the company His only input will be the seed money of $10,00000 and zero involvement My question is, should I ask for a large portion of the equity since all responsibility will be mine or should I walk away and start my own bearing in mind that the this is not a bridge to burn
